Terms of Service – MyExcelDeveloper.com

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services provided by MyExcelDeveloper.com (“we,” “us,” or “our”), including software development services. By using our services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our services.

• Client: The individual or entity that engages MyExcelDeveloper.com for services.
• Services: VBA and VSTO development services provided by MyExcelDeveloper.com.
• Agreement: The contract between MyExcelDeveloper.com and the Client, including these Terms and any other documents referenced herein.

3. Services

a. Description of Services

We provide development services specializing in VBA (Visual Basic for Applications) and VSTO (Visual Studio Tools for Office). Our services include, but are not limited to, custom development, integration, and support.

b. Scope of Work

The specific scope of work will be detailed in a separate agreement or project proposal, including deliverables, timelines, and fees.

4. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information required for the provision of services.
• Cooperate with us and provide necessary access to resources and systems.
• Make timely payments as agreed upon in the separate agreement or project proposal.

5. Fees and Payment

a. Fees

Fees for services will be detailed in the separate agreement or project proposal. All fees are exclusive of VAT, which will be added where applicable.

b. Payment Terms

Invoices will be issued according to the payment schedule outlined in the separate agreement or project proposal. Payments are due within 14 days of the invoice date. Late payments may incur interest at the rate of [percentage]% per month.

6. Confidentiality

Both parties agree to keep all confidential information received from the other party confidential and not to use or disclose such information except as necessary to perform the services.

7. Intellectual Property

a. Ownership

All intellectual property rights in any work product created by MyExcelDeveloper.com as part of the services will remain the property of MyExcelDeveloper.com until full payment is received. Upon full payment, the Client will have the rights to use the work product as specified in the separate agreement or project proposal.

b. Third-Party Rights

The Client warrants that any materials provided to MyExcelDeveloper.com do not infringe on any third-party intellectual property rights.

8. Warranties and Disclaimers

a. Warranties

We warrant that our services will be performed with reasonable care and skill.

b. Disclaimers

Except as expressly provided in these Terms, we disclaim all other warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, MyExcelDeveloper.com will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from our services.

Our total liability for any claim arising out of or relating to these Terms or our services will not exceed the amount paid by the Client for the services in the six (6) months preceding the claim.

10. Termination

a. Termination by Client

The Client may terminate the Agreement at any time with [number] days written notice to MyExcelDeveloper.com. Fees for services rendered up to the date of termination will be due and payable.

We may terminate the Agreement if the Client breaches any material term of these Terms and fails to cure such breach within 7 days of notice of the breach.

11. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them will be governed by Dutch law. Any disputes will be resolved exclusively in the courts of Rotterdam, Netherlands.

12. Changes to Terms

We may modify these Terms from time to time. Any changes will be posted on our website, and the updated Terms will take effect upon posting. Your continued use of our services after the changes take effect constitutes your acceptance of the modified Terms.
